Terms of Service

Welcome to type19 studio ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our web development, engineering, and digital design services. By engaging type19 studio for a project, you ("the Client") agree to be bound by these Terms.
1. Scope of Services and Artificial Intelligence
type19 studio provides custom web design, software engineering, branding, and development services. The specific deliverables, timelines, and scope of work for your project will be outlined in a separate, mutually agreed-upon Project Proposal or Statement of Work. Any requests falling outside the agreed Statement of Work will be subject to additional scoping and fees.
To maintain our standard of cutting-edge development, type19 studio explicitly upholds the right to utilize artificial intelligence tools, machine learning models, and automated technologies during the design, coding, and engineering phases of our projects. Notwithstanding the use of these tools, we guarantee that the final deliverables provided to the Client are exclusive, uniquely tailored to the Client's specific project requirements, and do not compromise the bespoke nature of the Client's brand identity.
2. Pricing and Payment Terms
Due to the highly bespoke nature of our design and development work, we do not operate on a flat-rate basis. The total cost of your project is uniquely calculated based on various factors, including project scale, technical complexity, interactive elements, backend integrations, and estimated development hours. Unless otherwise specified, standard projects require a non-refundable deposit before any work commences, with the balance due upon project completion.
Unless opting for our managed hosting services, the Client is required to pay a strict minimum upfront fee specifically allocated to secure their domain name and set up third-party hosting architecture. This foundational infrastructure fee is non-refundable.
Clients may elect to have their domain and project hosted directly under type19 studio’s managed infrastructure. If you choose this path, the service is billed as a recurring yearly fee. This annual charge covers your ongoing hosting, domain renewal, and standard maintenance. This yearly billing cycle will remain active and in effect until the Client formally decides to withdraw and requests a transfer or cancellation of services.
For select partner brands, type19 studio may agree to complete initial development or design projects free of upfront charges to support brand growth. In these specific instances, type19 studio reserves the legal right to retroactively charge for the full value of the services rendered at a later date. This deferred payment obligation is triggered once the Client's brand, business, or specific digital platform begins generating a profit. The exact metrics and timelines governing this deferred payment structure will be defined in your initial project agreement.
3. Client Responsibilities
To ensure the project stays on schedule, the Client agrees to provide all necessary content, text, imagery, and brand assets in a timely manner. The Client must also provide feedback and approvals within the timeframes specified in the project schedule. Delays in providing assets or feedback will directly impact the final delivery date and may result in paused-project fees being applied to the final invoice.
4. Revisions and Alterations
We pride ourselves on precision and premium design. Your Statement of Work will include a specified number of revision rounds during the design and development phases. Any substantial design changes, structural alterations, or feature requests made after a stage has been formally approved by the Client will be billed at our standard hourly rate.
5. Intellectual Property
The Client retains all intellectual property rights to the pre-existing logos, text, and brand assets they provide to type19 studio. Upon receipt of full and final payment, or fulfillment of deferred compensation terms, type19 studio transfers the intellectual property rights of the finalized front-end visual design and compiled exclusive code to the Client. type19 studio permanently retains the right to display the completed project and design elements in our portfolio and marketing materials.
6. Warranties and Limitation of Liability
We strive to build flawless, high-performance digital experiences. However, the services and final products are provided "as is" without any warranties, express or implied, regarding uninterrupted use or error-free operation once handed over to the Client's control. In no event shall type19 studio be held liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of the use or inability to use our deliverables.
7. International Operations, Governing Law, and Severability
type19 studio operates across both India and Australia. Regardless of the location of the Client or the specific origin of the work, these Terms and any separate agreements whereby we provide you services shall be governed by and construed strictly in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Victoria, Australia.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will remain in full force and effect. This severability ensures the agreement remains legally binding even if a specific clause is challenged.
8. Termination
Either party may terminate the agreement at any time with written notice. If the Client terminates a standard paid project prior to completion, type19 studio will retain the initial deposit and bill for any completed work exceeding that deposit's value up to the date of termination.
